Service limitations, risks and conflicts of interest

Last updated: 26 September 2026.

1. Tillerstone’s role

Tillerstone, LLC, trading as Tillerstone, arranges sourcing, information organisation, review of documentary support for specified facts and private introductions concerning Ukrainian energy projects. A separate engagement defines the scope of paid work.

Tillerstone does not accept clients’ investment funds or financial instruments, manage their portfolios or execute investment orders through this website. General materials are not personal investment recommendations, public securities offers or invitations to crowdfunding. A request outside our agreed and lawfully available scope is paused until an appropriate delivery arrangement is established.

2. What evidence labels mean

Information received in an initial enquiry is unverified. Founder review of the enquiry is not technical due diligence. The labels below describe later, recorded work on specified facts and are used only when the supporting work has actually been completed.

Table — scroll horizontally if needed

LabelMeaningWhat it does not establish
SELLER DECLAREDA statement from a seller or authorised representativeIndependent documentary support
DOCUMENT CONFIRMEDA supplied document prima facie supports a particular stated fact within an identified scopeFull authentication, validity of rights, absence of encumbrances, technical feasibility or investment suitability
EXPERT REVIEWEDA specified specialist reviewed a defined issue within a stated scope and dateReview of the entire project or an unrestricted right for every recipient to rely on the opinion

Unconfirmed information, inconsistencies and expired information are labelled according to their actual state. Evidence status concerns an individual fact. “Qualified Project” is an internal result of meeting minimum criteria, not a safety, bankability or investment recommendation certificate.

Requested connection capacity is not offered or contracted capacity. Stage and grid-position descriptions do not replace review of contracts, deadlines, technical conditions, land rights or permits. A Project Passport is not legal or technical due diligence.

“Verification scope not disclosed” means that no project-specific review scope has been published. It does not establish that no review took place, or that the project passed a review.

Publication approval permits publication of specified information. It does not confirm seller authority, transaction availability or full due diligence. Availability is shown separately; “Transaction availability unconfirmed” means there is no disclosed dated confirmation of current availability. Accepting an enquiry does not establish availability.

The record update date is not the verification date or an availability confirmation date. Evidence labels concern specified facts, not the project as a whole; none of these labels establishes full legal, technical, financial or investment due diligence.

3. Matching and mandates

An Investor Mandate in our process is a confirmed working sourcing profile, not a power of attorney, instruction to invest or investment-committee approval. Matching means relevance for further consideration, not suitability for a particular individual.

We do not guarantee complete market coverage, the best price or access to every relevant project. Selection depends on data currency, seller authority, disclosure limits and compliance obstacles.

4. Material risks

Energy transactions may be illiquid, require substantial additional expenditure and cause partial or total capital loss. Material Ukrainian risks include war and security events, damage to assets and infrastructure, changing regulatory and currency restrictions, limited insurance, sanctions, payment difficulties and contract enforcement.

Separate assessment is needed for land rights, permits, grid connection and availability, curtailment, tariffs and market revenues, counterparties, equipment supply, battery degradation, fire safety, environmental duties, financing and taxes. Forecasts and models depend on assumptions and do not guarantee outcomes. This is neither an exhaustive list nor a project-specific assessment.

Each party makes its own transaction decision and arranges appropriate legal, technical, financial and tax analysis. This does not reduce our duties under law or separate agreements.

5. Payment and conflicts

The model permits a seller to pay for information preparation or an investor to pay for bespoke sourcing under a separate agreement. Before relevant work, we disclose who our client and payer are, the engagement scope, and any material remuneration or connection that could influence an introduction.

Payment does not improve an evidence label, remove inconsistencies or guarantee presentation priority. A transaction-contingent fee is used only following separate legal assessment and written agreement. No success-fee rate is established by this website.

Before working with both sides on the same transaction, we assess conflicts, disclose material circumstances and obtain necessary informed permissions. Permission does not cure a prohibited or unmanageable conflict; we decline the relevant engagement in that case. One party’s confidential information is not used for the other outside its permitted purpose.

We disclose material affiliations and referral payments before referring an adviser. You may choose another independent adviser; using an affiliated law firm or other business is not a condition of access if objectively necessary confidentiality and security requirements are met. Tillerstone neither offers nor accepts bribes or concealed payments to distort an assessment.

6. Participant checks

We may verify organisational identity, representative authority, ownership and relevant sanctions restrictions, proportionately to stage and risk. Additional documents are requested through a protected channel with an explanation of necessity. Name matches are reviewed by a person and do not automatically establish a sanctions designation.

We do not assist sanctions evasion or breach of other applicable prohibitions. Unresolved risks may lead to a pause. Tillerstone’s preliminary checks do not replace a bank’s, investor’s or other obliged party’s due diligence or guarantee the absence of all risks.
