Milestone-based energy acquisitions: conditions, payments and closing
Structure energy acquisition conditions and staged payments around evidence, acceptance, expiry and failure outcomes, with a synthetic funding schedule.
Jurisdiction: Ukraine. Sources reviewed . Periodic review required. Next scheduled editorial review: . Material rule changes require earlier review.
A staged purchase works only when each payment buys an identifiable result and the documents explain what happens if that result is late, defective or never achieved. "Pay on RTB" or "pay when the grid is secured" leaves too much undefined when the project still depends on several rights, works and third parties.
For a Ukrainian development acquisition, separate ownership transfer, price payment, construction funding and operating handover. They may occur on different dates. The framework below supports negotiation and diligence; it is not a model agreement. Legal sources were checked through Mitralex on 31 October 2026.
Decide which risk is being deferred
There are several different arrangements behind the word "milestone": a condition before either party must close; deferred consideration after the buyer has acquired ownership; staged acquisition of interests; or a separately funded development obligation. Describe the chosen arrangement before assigning amounts. A purchase-price holdback does not itself finance unfinished construction or force the operator to complete external works.
Article 212 of the Civil Code permits rights and obligations to depend on an uncertain circumstance and addresses bad-faith interference with its occurrence. A negotiated condition still requires precise drafting and a lawful transaction route. Under article 21(5) of the LLC Law, a conditional disposal agreement for an LLC interest is written and has identified essential terms, including the interest, price, conditions and agreement term. Examine charter restrictions, paid-up interests, authority and formalities for the actual company as well.
An indicative offer, signed purchase agreement, transfer of interests and completed registration are different evidence events. Counsel should specify which document creates each obligation and which act completes the intended transfer. Do not let the financial model assume ownership earlier than the operative documents provide.
Give every condition a testable definition
Table — scroll horizontally if needed
| Item | Definition to agree | Evidence / decision rule |
|---|---|---|
| Deliverable | Exact right, document, completed work or operating result | Identify version, holder, scope and measurement boundary |
| Responsibility | Party responsible and required third-party action | Distinguish a seller obligation from an operator dependency |
| Acceptance | Reviewer, required evidence and review procedure | Define corrections, objections and disputed findings |
| Timing | Target date and final contractual deadline | Address extensions, delay notices and consequences |
| Funding | Buyer/seller/SPV contribution and permitted use | Separate consideration from completion expenditure |
| Failure | Cure, alternative, waiver or termination route | Identify money and document treatment after failure |
| Continuing validity | What must still be true at closing/payment | Reconfirm rights, absence of relevant changes and consents |
Not every item should be waivable by the buyer. An agreement between parties cannot waive a mandatory regulatory approval or create a missing statutory entitlement. Conversely, a commercial condition that can be waived should have a defined decision-maker and documented consequence, including any revised funding need.
A synthetic EUR 1 million price schedule
Assume a negotiated total acquisition price of EUR 1,000,000. No tax, fees, financing or project-completion spending is included. The amounts and stages are educational, not market terms or a claim that a particular escrow mechanism is available to these parties.
Table — scroll horizontally if needed
| Stage | Price funding / release | Evidence assumed in this example | Cumulative consideration released |
|---|---|---|---|
| Signing | EUR 100,000 placed in agreed escrow; not yet released to seller | Executed documents and effective escrow terms | EUR 0 |
| Closing | EUR 100,000 released plus EUR 300,000 additional payment | Defined conditions satisfied and agreed ownership-transfer steps completed | EUR 400,000 |
| Grid milestone | EUR 400,000 deferred consideration | Specified directional capacity, completed interfaces and required operating evidence | EUR 800,000 |
| Final performance milestone | EUR 200,000 deferred consideration | Defined test, measurement boundary and acceptance record | EUR 1,000,000 |
The signing deposit is counted once: it becomes part of the EUR 400,000 closing release, not an additional EUR 100,000. If conditions fail before closing, the return or other treatment of that escrow amount must follow the agreed terms and applicable law. If a post-closing milestone fails, the buyer may already own the SPV; termination, repayment and retransfer consequences cannot be assumed to mirror a pre-closing failure.
For a project that needs EUR 300,000 of unfinished works, identify that funding separately. The EUR 600,000 of deferred seller consideration is not automatically a construction facility. The seller's ability and incentive to finish its remaining scope should be tested against its actual obligations, retained security and resources.
Name advance payments and security correctly
Article 570 of the Civil Code distinguishes the statutory concept of an earnest payment (zavdatok) and provides that a payment is an advance where it is not established to be such an earnest payment. Do not translate every English "deposit" into a legal consequence such as automatic non-refundability. Define whether money is an advance, security, escrowed consideration or payment for a separate service, and review the consequences under the governing documents.
Security should match the exposure. Consider who controls the funds, release evidence, disputes, expiry, costs, insolvency exposure and enforceability. A contractual promise to refund can carry different risk from an independently available security arrangement. This guide does not prescribe one security product or confirm its availability for any transaction.
Do not confuse a third-party action with seller completion
A seller can undertake to complete a document package or fund specified works, but an operator's action has its own process and dependencies. A developer's timetable is not an unconditional DSO/TSO commitment. Link the milestone to the actual contract scope, remaining works, payment, tests and applicable capacity, distinguishing import and export for BESS.
For an operating test, define duration, resource conditions, available equipment, metering, tolerances, exclusions and the independent expert's role. A condition based on revenue must also address price exposure and collection timing. Otherwise the parties may dispute whether technical delivery or market conditions caused the missed result.
Manage the period between signing and handover
Maintain an interim-controls schedule covering material contracts, new borrowing/security, related-party payments, asset changes, insurance and preservation of records. Define ordinary operations and agreed consents with counsel; do not assume a broad buyer veto is harmless before the applicable approval and control analysis.
At closing, reconcile the condition register, consideration releases, debt/security treatment and cash available for completion. At handover, transfer the authorised operating interfaces and complete the records rather than merely hand over equipment keys. A Passport helps organise this information; it does not replace transfer, technical or financing diligence.
Use the acquisition guide, RTB evidence framework and foreign-investor entry guide. Discuss your mandate with the conditions and evidence your team requires before each capital commitment.
