Why buyers reduce an energy project price after due diligence
Prepare an energy project sale by reconciling asking price to cash flow, remaining CAPEX, debt, evidence gaps and specific contractual responses.

Buyers commonly revisit price when the evidence changes expected cash flow, remaining capital or the risk they are accepting. A lower offer can also reflect negotiation. The seller’s task is to distinguish a documented value adjustment from an unexplained discount.
Prepare a bridge from the initial asking-price assumptions to the diligence findings. This makes the conversation about specific changes rather than broad statements that a project is “less attractive”. Asking price is not evidence of an achieved transaction price.
An issue-to-price bridge
Table — scroll horizontally if needed
| Finding | Economic effect to calculate | Seller preparation | Possible response |
|---|---|---|---|
| Grid completion costs excluded | Additional capital and delayed first cash | Full interface budget and progress evidence | Complete before closing or allocate milestone payments |
| Reported revenue not collected | Working capital and recovery uncertainty | Settlements, bank reconciliation and receivables ageing | Separate disputed balances or agree conditional payment |
| Shareholder loan omitted | Different equity cheque / repayment need | Reconcile principal, interest, security and treatment | Define acquisition or discharge of the loan |
| Equipment needs earlier replacement | Lifecycle capital and downtime | Condition evidence, service history and warranties | Reprice proven cost or agree a funded remedy |
| Land / permit scope differs | Delay, redesign or inability to execute | Rights and approvals matched to the actual design | Resolve before commitment or narrow the perimeter |
| Revenue contract is preliminary | Less dependable cash flow | Signed terms, credit and commencement evidence | Retain an unsupported upside outside the base price |
These are negotiation options, not automatic legal remedies. Enforceability, tax consequences and counterparty ability to pay require project-specific advice.
Avoid counting one issue twice
If a lower generation forecast already reduces valuation, do not also apply an unexplained duplicate discount for the same forecast change. Conversely, extra construction spending and delayed revenue can be separate consequences of one grid delay. Show both calculations and their shared cause.
Synthetic example: agreed business value is €5 million, with €1 million debt and €0.2 million unrestricted cash under the parties’ definitions. A simplified equity bridge gives €4.2 million before other agreed adjustments. If €0.8 million completion capital is needed, the buyer’s funding need also includes that amount; it is not automatically another debt deduction. Taxes, costs, loan treatment and contingent payments can change the final calculation. These figures are educational, not Ukrainian transaction benchmarks.
Use the valuation guide to align enterprise value, equity consideration and total investment budget. Do not equate an investment amount or CAPEX with acquisition value.
Fix the information before outreach
Make the teaser, model and data room use the same entity, capacity, stage and project version. Give each material statement an evidence reference, date and limitation. A seller declaration about a connection extension should remain a declaration until the relevant amendment exists.
Review historical receipts and outstanding claims before using them in price. Article 4 of the Accounting Law applies accrual principles; recognised revenue and cash receipts can therefore differ. The practical valuation response is to reconcile, age and assess collectibility rather than assume the full receivable is cash-equivalent.
Choose which risk stays with whom
For every material finding, identify a remedy, owner, budget, deadline and evidence of completion. Decide whether it is a pre-closing condition, retained buyer risk reflected in price, specific indemnity or conditional consideration. A warranty is not a substitute for a missing essential right, and insurance does not automatically cover a known issue.
Ask the buyer for a consistent price bridge and distinguish revised facts from changed investment criteria. Keep unresolved legal, technical and financial conclusions with the specialists responsible for them. Disclose relevant changes through controlled access and preserve version history.
Prepare the data room before circulation and use the seller preparation guide. Present a project with its main unresolved items and the proposed allocation of completion risk.
