An energy project data room: documents investors can actually use
Organise a Ukrainian energy project data room with a useful folder structure, document index, evidence status, open issues and controlled access.
Jurisdiction: Ukraine. Sources reviewed . Periodic review required. Next scheduled editorial review: . Material rule changes require earlier review.
A useful data room lets an investor trace a material claim to its evidence and see what is missing. A large folder of unnamed files does neither.
For a Ukrainian energy project, organise documents around the decisions a buyer or investor must make: ownership, site rights, construction, connection, operations, revenue and funding. This article provides a working structure that can be adapted to the project’s stage.
Start with an index and an issues list
Before adding folders, create a document index. Give every file a stable reference, descriptive title, date, version, owner and disclosure status. Link it to the relevant statement in the project summary where useful.
Maintain a separate issues list. “Not provided” means the file is missing; it does not mean the underlying right does not exist. “Not applicable” needs a reason. When records conflict, preserve the conflict for review rather than choosing the more attractive version.
The Tillerstone Project Passport guide describes evidence states for individual facts. Those states do not certify an entire project.
Use a structure that follows the investment
Table — scroll horizontally if needed
| Folder | Typical contents | Decision supported |
|---|---|---|
| 00 — Index and open issues | File register, release history, Q&A and missing documents | What is available and what remains uncertain? |
| 01 — Company and ownership | Corporate records, ownership chain, authority, governance agreements | Who owns the project and can approve the transaction? |
| 02 — Land and access | Registered rights, underlying agreements, plans and restrictions | Can the project use its site and routes? |
| 03 — Development and permissions | Design versions, environmental screening, relevant approvals | Can the intended works proceed? |
| 04 — Grid | Agreement, technical conditions, amendments, payments and completion records | What capacity can be used, when and at what cost? |
| 05 — Equipment and construction | Supply and construction contracts, warranties, acceptance records | What is being delivered and who bears defects? |
| 06 — Operations | Metering, maintenance, incidents, service contracts and insurance | How does the asset actually perform? |
| 07 — Market and revenue | Sales arrangements, settlements, imbalance costs and receivables | How is electricity converted into income? |
| 08 — Finance and tax | Accounts, model, bank reconciliations, debt, security and tax records | What cash and obligations belong to the company? |
| 09 — Transaction | Draft terms, required consents, disclosure schedules and closing list | What must happen before funds and ownership transfer? |
This is an editorial checklist, not a statutory list of mandatory documents. A development project will not have the same operating records as a commissioned plant. Show that difference clearly.
Make each folder answer a question
The grid folder should allow a reviewer to reconstruct the connection position, including amendments and unfinished work. The finance folder should allow accounts, receivables and cash to be reconciled. The land folder should connect the underlying agreement with the relevant registered right.
Under Article 125 of the Land Code, registration is central to the arising of the specified land rights. A scan of a lease is therefore not the complete evidence package for a current right. Historical and special cases need their own legal assessment.
For corporate documents, include the charter and relevant agreements as well as an ownership chart. Articles 20 and 21 of the LLC Law address pre-emption and transfer rules. The chart alone cannot establish that the proposed sale can proceed.
Add an evidence status, not an optimistic label
An example index entry might read:
Table — scroll horizontally if needed
| Field | Illustrative entry |
|---|---|
| Reference | GRID-014 |
| Document | Signed amendment to connection timetable |
| Version | Executed version, dated 12 August 2026 |
| Evidence scope | Supports the revised contractual timetable |
| Limitation | Does not establish that external works are complete |
| Next check | Obtain current progress evidence from the responsible party |
This entry is invented. It illustrates why “document available” and “risk resolved” are different conclusions.
Keep originals alongside translations and identify the controlling language. An English summary helps readers but should not silently replace a Ukrainian legal document. Avoid presenting machine translation as a certified translation.
Control access by purpose
Release information in stages and only to authorised recipients. An NDA is part of the process; it does not create unlimited permission to share every file. Tillerstone’s controlled-disclosure guide explains the distinction between confidentiality arrangements, owner permission and access scope.
Remove unnecessary personal information and restrict highly sensitive technical details. Article 6 of Ukraine’s Personal Data Protection Law requires personal data to be appropriate and not excessive for the processing purpose, among other safeguards. A confidentiality agreement is not a substitute for a lawful basis for processing personal data. Cross-border disclosure may require additional assessment.
Use named access, review permissions when participants change and retain a release log. If a material file is replaced, record what changed and notify the relevant recipients through the agreed process.
Keep the room current through closing
Assign one owner for the index. Track answers that change the financial model or transaction terms. Before closing, reconcile the final document set to the conditions and disclosures in the transaction documents.
The objective is a reliable record of what was disclosed and what remains open. More files are useful only when they make the decision clearer.
Your next step
Prepare an initial outline and a list of the document categories already available. Submit your project to Tillerstone; keep confidential files for the agreed private process.
