Security for Ukrainian energy project finance: assets, rights and priority
Map Ukrainian energy project assets, security documents, registration, priority and contract continuity, with a recovery example avoiding double counting.
Jurisdiction: Ukraine. Sources reviewed . Periodic review required. Next scheduled editorial review: . Material rule changes require earlier review.
A pledge of shares in an energy SPV gives a lender a different route to protection from security over the company's plant, receivables or accounts. It does not establish that essential project rights survive a default, that the lender ranks first, or that proceeds cover the loan. Prepare a security package as a map of assets, rights, counterparties and enforceable steps.
For an owner seeking project finance or a buyer refinancing an acquisition, the practical question is what can support repayment and preserve operating value when something fails. Ukrainian legal sources were checked through Mitralex on 31 October 2026. The package below is a diligence framework; the security actually available depends on the property, parties, contracts, governing law and transaction.
Start with the borrower and the property owner
Identify the borrower, shareholder, equipment owner, land-right holder, connection-contract holder and recipients of project revenue. Record assets used by the project but held by another group company. A borrower cannot solve a title or third-party consent gap by describing an asset as part of its "turnkey project".
Map the obligations to be secured: principal, interest, fees, contingent commitments, hedging where relevant and costs. Specify currencies, debtors, secured parties and document hierarchy. Reconcile existing loans, negative pledges, prior security and related-party claims before promising a new lender a particular priority. Acquisition price, shareholder-loan treatment and new construction funding can require different releases or consents.

| Layer | Evidence to prepare | Question before treating it as available security |
|---|---|---|
| SPV shares/interests | Ownership, constitutional documents, existing pledges and restrictions | Who grants the security, and what control/transfer steps follow enforcement? |
| Land and immovable property | Registered title/rights, parcel/object identity, term and restrictions | Which right is eligible, held by whom and for how long? |
| Equipment and other movable assets | Title, serialised inventory, location, supplier retention and encumbrances | Is this distinct property or already part of another secured object? |
| Receivables and contract rights | Executed contracts, amounts, disputes, assignment/security clauses | What right exists, and which notice or consent is needed? |
| Accounts and reserves | Bank agreements, restrictions, balances and payment waterfall | Which rights over funds and payment control can be documented with the bank? |
| Insurance and sponsor support | Policy terms, beneficiaries, support instrument and authority | Is a claim payable to the relevant party, within what conditions and limit? |
Keep ownership and valuation schedules connected. A component included in the plant valuation cannot also be added as separate equipment proceeds. A shareholder's interests and the SPV's underlying assets are also different legal objects with economically overlapping value.
For support instruments governed by the Ukrainian Civil Code, distinguish surety under article 553 from guarantee under article 560, which identifies a bank or other financial institution as guarantor. An English phrase such as "corporate guarantee" does not settle the Ukrainian classification, issuer requirements or recovery conditions. Analyse any foreign-law instrument under its actual governing regime.
Separate creation, registration and priority
Civil Code article 547 requires a written security transaction and specifies the consequence of failing that form. Article 572 describes the pledge right, subject to statutory qualifications. Those principles do not establish that every item in a financing term sheet has already become effective security.
For movable-property encumbrances, article 12 of Law 1255-IV distinguishes the parties' relationship from effectiveness against third parties; registration also matters to priority under the stated rules. Article 14 provides the registration-based ranking with exceptions. Obtain current searches and examine competing rights, rather than equate an executed agreement with first-ranking protection.
For mortgage, article 3 of the Mortgage Law links the parties' mortgage rights and obligations to state registration and addresses priority. Civil Code article 577 addresses notarisation and registration for the relevant property. The eligibility of the specific object, construction status and documented rights needs separate review; the same process cannot be assumed for every land, building and battery component.
Protect continuity as well as enforcement proceeds
An enforceable claim against equipment can still leave the project unable to trade. Identify termination, change-of-control, assignment and default provisions in the land, connection, EPC, O&M, software, offtake and insurance arrangements. Establish who receives notices and can remedy a breach before a key contract terminates.
The World Bank's lender-protection discussion describes direct agreements and step-in arrangements in PPP finance. It provides general questions, not a rule that a private Ukrainian power project automatically offers those rights. A proposed substitute operator needs a legally and technically workable route, relevant consents and continuing licences/permissions. A security document does not itself transfer every operational entitlement.

| Completion item | Evidence required | Open issue to assign |
|---|---|---|
| Authority and formalities | Decisions, signatory powers, document form and required approvals | Who can validly grant each instrument? |
| Existing creditor release | Payoff/release documents and agreed sequence | Does repayment actually remove the old encumbrance? |
| Registration and ranking | Correct objects, filings, searches and priority analysis | Are there competing or non-register rights? |
| Contract continuity | Notices, consents and negotiated direct agreements where needed | Who may intervene, for which obligations and period? |
| Several lenders | Agreed decision-making, proceeds allocation and release arrangements | Does the chosen agent/holding mechanism work under applicable law? |
| Ongoing maintenance | Insurance, asset additions, registrations and reporting responsibilities | Who keeps the package aligned as the plant changes? |
Put the required evidence into conditions for the appropriate financing stage. Distinguish agreement of a package, signing, registration and drawdown satisfaction. Keep any permitted later completion specifically allocated; a generic promise to "perfect security after funding" hides both timing and priority risk.
Stress-test recovery without counting the same value twice
Assume a synthetic EUR 3.00 million loan. A presentation adds a EUR 5.00 million operating-plant valuation, EUR 2.00 million share valuation, EUR 0.50 million receivables and EUR 0.20 million cash: EUR 7.70 million. That sum is not independent collateral coverage. The shares represent a residual interest in the same business, including its debts and assets; the operating valuation may also include working capital or cash.
Instead assume a separately defined recovery scenario: EUR 3.00 million of plant/asset proceeds, EUR 0.40 million eligible receivable collections and EUR 0.20 million accessible cash. These are expressly non-overlapping assumed proceeds. Total is EUR 3.60 million. Deduct assumed enforcement/realisation costs of EUR 0.20 million and a legally established prior creditor allocation of EUR 0.70 million: EUR 2.70 million remains for the new loan, 90% of its gross EUR 3.00 million principal, with a EUR 0.30 million shortfall before other claims or charges.
This is an agreed hypothetical waterfall, not a statement of the statutory ranking in an actual insolvency. Counsel must establish the claims and priority; an engineer/valuer must assess the assets and operating continuity. Cash has not already been deducted from the gross loan denominator, and the same receivables are not also added through a going-concern valuation.
If that EUR 2.70 million arrives only after two years, an invented 12% annual discount rate gives 2.70 / 1.12² = EUR 2.152 million today. Neither the delay nor discount rate is a Ukrainian recovery benchmark. Preserve interim operating costs, disputes and any further deterioration in a real downside. Paper coverage and timely repayment are separate credit questions.
Prepare a package the lender can actually review
Deliver a versioned asset/right register, debt/security schedule, signed contracts, current searches, proposed instruments, consents and open conditions. Link each entry to the borrower model and the person responsible for keeping it current. Protect private ownership, bank and security information through controlled disclosure.
Red flags include a share pledge presented as all-asset coverage, property held outside the borrower, incomplete object identification, old security with no release route, an unsigned consent, duplicated recovery values and an assumed operating transfer after enforcement. The package should show what is documented, what is proposed and what remains unresolved before the lender commits or permits drawdown.
Use the bankability framework, financing-channel guide and SPV debt diligence. Discuss your mandate with the required security, completion funding and creditor-release assumptions stated separately.
